Job Responsibilities Provide legal support and counsel on commercial contracts, supporting negotiation and drafting of contracts with customers, suppliers, and business partners
Support mergers, acquisitions, divestitures, joint ventures, and other strategic transactions, including due diligence, document preparation, closing activities, and post-closing integration
Provide day-to-day legal advice and strategic counseling to business units and corporate functions on commercial, operational, regulatory, and compliance matters
Assist with public company compliance, including preparation and review of SEC filings and compliance with NYSE listing standards, corporate governance requirements, and disclosure obligations
Advise management and business partners on corporate records management
Partner with business leaders to identify, assess, and mitigate legal and business risks while enabling commercial objectives
Coordinate and support intellectual property matters, including patent, trademark, and related portfolio management activities
Assist with the development and implementation of company policies, procedures, training, and compliance initiatives
Assist with managing relationships and services of outside attorneys
Perform other legal and business support responsibilities as needed
Qualifications Juris Doctor degree from an accredited law school
2-5 years of experience in either law firm or in-house legal department
High level of integrity, professionalism, and discretion
Strong business judgment and risk assessment skills
Ability to balance legal risk with practical business objectives
Strategic thinking, plus a committed "get to yes"/solutions-oriented approach
Excellent written, verbal and interpersonal communication skills, with the ability to translate complex legal/regulatory issues into understandable and executable advice
Ability to manage multiple projects and competing priorities
Strong relationship-building and client-service orientation
Demonstrated ability to work independently while collaborating effectively across functions
Comfort and excellent judgment in areas where regulation/law is evolving or uncertain
Self-motivated and enthusiastic
Proficient in Microsoft Outlook, Word, Excel and PowerPoint
